CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement ("Agreement") is entered into between Redfield Group Auctions ("Disclosing Party") and the party accessing this data room ("Receiving Party").
1. CONFIDENTIAL INFORMATION. All documents, drawings, plans, specifications, financial data, engineering reports, and other materials provided in this data room ("Confidential Information") are the proprietary property of the Disclosing Party and are provided solely for the purpose of evaluating a potential acquisition of the property located at 1 Fruit of the Loom Drive, Vidalia, Louisiana 71373.
2. RESTRICTIONS ON USE. The Receiving Party agrees that Confidential Information shall not be reproduced, distributed, transmitted, shared with third parties, published, or used for any purpose other than evaluating a potential acquisition of this property. Any unauthorized use may result in legal action.
3. NO REPRODUCTION. The Receiving Party shall not copy, scan, photograph, or otherwise reproduce any portion of the Confidential Information except as strictly necessary for internal evaluation purposes.
4. RETURN OR DESTRUCTION. Upon request by the Disclosing Party, the Receiving Party shall promptly destroy or return all Confidential Information and any copies thereof.
5. TERM. This Agreement shall remain in effect for a period of two (2) years from the date of access.
6. GOVERNING LAW. This Agreement shall be governed by the laws of the State of Alabama.
